Terms of Service

1. Agreement to Terms

By accessing or using iVend Pulse ("the Service"), operated by CitiXsys ("we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

The Service is available at pulse.ivend.com and provides operational intelligence monitoring for iVend Retail and iVendNext customers.

2. Definitions

  • Account — Your organization's Pulse account, representing one iVend deployment (HQ server + stores).
  • Agent — The Pulse Edge Agent software installed on your premises that collects and transmits metrics.
  • Node — A POS terminal monitored by the Service. Pricing is per-node.
  • User — An individual with login credentials to access your Account.
  • Module — A functional area of the Service (Health, Infra, AI, Pharma, etc.).
  • Tier — Your subscription level (Free, Standard, Pro, or Managed).

3. Account Registration

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized access.

Each Account must correspond to a valid iVend Retail or iVendNext deployment. We reserve the right to verify your entitlement.

4. Free Tier and Trials

The Free tier provides access to Pulse Health (health score, top 3 findings, 1 user) at no charge, indefinitely. We reserve the right to modify Free tier features with 90 days notice.

Paid tier trials last 30 days. At trial end, your account reverts to Free tier. Data collected during the trial is retained for 30 days after reversion.

5. Subscriptions and Payment

Paid subscriptions are billed monthly or annually via Stripe. Prices are listed on our Pricing page and may be updated with 30 days notice. All fees are in USD and non-refundable except as required by law.

Node pricing is based on the number of POS terminals registered in your iVend deployment. Volume discounts apply per the published scale.

Vertical packs (Pharma, Grocery, Fashion) are billed as add-ons at 30-40% above your base tier rate.

6. Data Collection and Privacy

The Agent collects operational metrics (health scores, replication status, server performance, store status) from your iVend deployment. It does not collect transaction data, customer PII, payment card data, or business financials. See our Privacy Policy for full details.

You retain ownership of all data collected from your deployment. We process it solely to provide the Service.

7. Data Retention

Data retention varies by tier:

  • Free: 7 days of metrics, latest health score only
  • Standard: 30 days
  • Pro: 90 days
  • Managed: 365 days

Upon subscription cancellation or downgrade, data exceeding the new tier's retention window is deleted after a 30-day grace period.

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to access other customers' data or accounts
  • Reverse-engineer the Agent or Service
  • Exceed rate limits or abuse API endpoints
  • Resell access to the Service without authorization

9. Service Availability

We target 99.9% uptime for the Pulse cloud service. Managed tier customers receive an SLA with defined remedies. Scheduled maintenance windows will be communicated at least 48 hours in advance.

The Service depends on the Agent running on your premises. We are not responsible for downtime caused by your infrastructure, network, or Agent misconfiguration.

10. Intellectual Property

CitiXsys owns all rights to the Service, Agent software, documentation, and branding. Your use of the Service does not transfer any intellectual property rights. You may not use our trademarks without written permission.

11. Limitation of Liability

The Service is provided "as is". To the maximum extent permitted by law, CitiXsys shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

Our total liability for any claim related to the Service shall not exceed the fees paid by you in the 12 months preceding the claim.

12. Termination

You may cancel your subscription at any time. We may suspend or terminate your account for violation of these Terms with notice. Upon termination, your data is retained for 30 days then permanently deleted.

13. Changes to Terms

We may update these Terms by posting the revised version on this page. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the Service constitutes acceptance of updated Terms.

14. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.
